Lambda, an Nvidia-backed AI cloud company that rents GPU computing capacity, remains private, with no public S-1 or announced IPO date as of Oct. 2026. It is seeking up to $4 billion at a reported $14.5 billion pre-money valuation, but that round has not been announced as closed.1 Investors tracking a Lambda IPO can follow its timeline, valuation history and limited pre-IPO access options.
A financial advisor can help you compare private-market fees, holding restrictions, and customer-concentration risk if you’re considering Lambda before an IPO.
When Lambda Could Go Public
Lambda reportedly planned to list in 2026 before market uncertainty pushed the expected timeline into 2027. A letter reviewed by The Wall Street Journal described an IPO by 2027 as dependent on the company’s execution and market conditions. 2 That makes 2027 a target, not a confirmed Lambda IPO date.
Lambda has also expanded its public-company-style leadership team. In May, former Sprint and Alcatel-Lucent executive Michel Combes became CEO, co-founder Stephen Balaban moved to chief technology officer and former AT&T Communications CEO John Donovan became board chair. Lambda said the appointments would support capital formation and large-scale infrastructure deployment.
A public EDGAR search did not surface a Lambda S-1 as of publication. A confidential submission, if one exists, would not appear publicly during the SEC’s nonpublic review process. Lambda also has not announced a roadshow, exchange, ticker, or offering price.
| IPO Step | What It Means | Lambda Status |
|---|---|---|
| Confidential filing | SEC reviews a draft registration statement privately | Not publicly announced |
| Public S-1 | Financial statements, risks and ownership details become public | No public filing found |
| Roadshow | Management and underwriters market the offering | Not announced |
| Pricing | Share count, price range and implied valuation are set | Not announced |
Third-party websites may assign Lambda a speculative date or symbol, but Lambda remains privately held and does not have an official public ticker.
Lambda Valuation History
The most recent completed reported valuation was $5.9 billion after Lambda’s November 2025 Series E. The $14.5 billion figure belongs to an equity round still active as of publication. 3
| Date | Funding Event | Reported Valuation |
|---|---|---|
| February 2025 | $480 million Series D | $2.5 billion post-money |
| November 2025 | More than $1.5 billion Series E | $5.9 billion post-money |
| August 2026 | Talks to raise up to $3 billion | $12 billion or more |
| October 2026 | Proposed round of up to $4 billion | $14.5 billion pre-money |
Reuters reported the $2.5 billion Series D valuation, while Lambda confirmed the $480 million raise. 4 Lambda also confirmed the Series E amount, although the $5.9 billion valuation came from outside reporting. The August and October figures reflect proposed financing terms rather than closed transactions.
If Lambda raises the full $4 billion at a $14.5 billion pre-money value, the implied post-money valuation would be $18.5 billion ($14.5 billion + $4 billion). However, that figure should not serve as Lambda’s current valuation unless the round closes on those terms.
Reporting tied to the August financing discussions projected more than $1.5 billion in 2026 revenue. 5 A later investor letter said Lambda’s backlog rose from $15 billion in June to $50 billion in September. But about $35 billion of that increase came from a single Anthropic commitment. Backlog represents contracted future business rather than revenue already earned, so investors would still need to evaluate delivery costs, timing and customer concentration.
How to Invest in Lambda Before an IPO
Lambda shares are not available through ordinary brokerage accounts. Pre-IPO access may be available through private secondary markets, special purpose vehicles or funds that hold Lambda alongside other companies.
| Access Route | Eligibility | Typical Minimum and Fees | Liquidity |
|---|---|---|---|
| Forge direct secondary market | Generally accredited investors | $100,000 standard minimum; transaction fee varies by deal | Limited; sale depends on demand, company approval and transfer restrictions |
| EquityZen SPV or private deal | Accredited investors | Some offerings may begin near $5,000; fees commonly around 2.5% but vary | Usually held until an exit; resale is not guaranteed |
| ARK Venture Fund | Open to U.S. investors | $500 minimum; 2.90% net annual expense ratio | Limited interval-fund repurchases rather than daily redemption |
Forge lists Lambda and permits eligible accredited investors to submit bids when shares are available. Forge says its standard direct-transaction minimum is $100,000 and uses a success-based commission structure, with the final fee depending on the transaction. Trades can also be subject to Lambda’s approval or right of first refusal.
EquityZen limits its private offerings to accredited investors. Access is often structured through an SPV, meaning the investor owns an interest in a fund that owns shares rather than appearing directly on Lambda’s capitalization table. Minimums, fees and availability vary by offering, and there may be no buyer when an investor wants to exit.
The ARK Venture Fund provides indirect Lambda exposure within a diversified portfolio of private and public companies. It is open to U.S. investors with a $500 minimum and currently charges a 2.90% net expense ratio. Because the fund’s holdings can change, buying it is not equivalent to owning Lambda shares directly.
Risks of Pre-IPO Investing
A private valuation does not guarantee an equivalent IPO price. The $14.5 billion figure reflects proposed terms negotiated with a limited investor group, while public markets would continuously reprice Lambda based on revenue, margins, debt, customer concentration and demand for AI infrastructure.
Liquidity can also be limited. Private shares and SPV interests may be subject to company approval, transfer restrictions and rights of first refusal. Investors could be required to hold for years, and an IPO may be delayed beyond 2027 or never occur.
Lambda’s capital needs are another consideration. The company closed a $926 million secured term loan in August and a separate $1 billion secured financing in October to support infrastructure deployment. Large debt and equity raises can help finance growth, but they also show how much capital GPU cloud providers may need before generating the related revenue.
Customer concentration could amplify that risk. The Anthropic agreement accounted for most of Lambda’s recent backlog increase. If a major customer postpones capacity, renegotiates its contract or encounters financial difficulties, Lambda’s growth and financing needs could be affected.
Public investors have already scrutinized similar businesses. CoreWeave’s shares and bonds fell sharply in October as investors questioned whether AI revenue would grow fast enough to support its debt-financed infrastructure expansion. That does not predict Lambda’s results, but it shows how public markets may react to borrowing, capital spending and concentrated customers.

What to Watch if Lambda Files
A public S-1 would be the strongest evidence that Lambda’s IPO had entered its public phase. It would also provide the first audited view of revenue, margins, cash flow, debt and customer concentration.
| Signal | Where to Find It | What It Indicates |
|---|---|---|
| Public S-1 | SEC EDGAR | Public registration has begun |
| Price range | S-1 amendment or preliminary prospectus | Proposed IPO valuation |
| Exchange and ticker | S-1 and exchange notices | Where shares would trade |
| Lock-up terms | Prospectus and underwriting documents | When insiders may become eligible to sell |
| Index eligibility | Nasdaq, S&P or Russell methodology | Whether passive funds could later buy shares |
If Lambda lists on Nasdaq and ranks among the largest eligible companies, Nasdaq’s fast-entry rule could allow it to enter the Nasdaq-100 after its 15th trading day. It would still need to satisfy the index’s other requirements; a large IPO alone would not guarantee inclusion.
All we can do is watch for the public S-1, not the 2027 target. Until Lambda discloses audited financials and proposed offering terms, investors cannot fully evaluate whether its revenue, backlog, and margins support the private valuation.
Bottom Line

Lambda appears to be preparing for a possible IPO, but it has not filed publicly or announced a firm date. Its proposed financing would value the company at $14.5 billion before new capital, while the latest completed reported valuation remains $5.9 billion. A financial advisor may help compare pre-IPO fees, liquidity limits and AI-infrastructure concentration with waiting for public shares and fuller financial disclosure.
